1. About GenoGenRx

GenoGenRx, LLC ("GenoGenRx," "we," "us," or "our") is a licensed 503A compounding pharmacy located at 1200 S. Rogers Circle, Suite 11, Boca Raton, Florida 33487. GenoGenRx operates under the authority of the Florida Board of Pharmacy and compounds patient-specific medications pursuant to valid prescriptions from licensed healthcare providers, in accordance with Section 503A of the Federal Food, Drug, and Cosmetic Act (FD&C Act).

2. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at www.genogenrx.com (the "Site") and any services, information, or content made available through the Site. By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and HIPAA Notice of Privacy Practices, which are incorporated by reference.

If you are accessing or using the Site on behalf of a medical practice, clinic, or other business entity, you represent that you have the authority to bind that entity to these Terms, and all references to "you" shall include that entity.

3. Eligibility

You must be at least 18 years of age to use this Site. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Certain areas of the Site — including provider account registration, prescription ordering portals, and provider-facing resources — are intended exclusively for licensed healthcare professionals. By accessing these areas, you represent that you hold a current, active, and unrestricted license to practice in your respective field and jurisdiction.

4. Description of Services

GenoGenRx provides compounding pharmacy services to licensed healthcare providers and their patients. Our services include the preparation of patient-specific compounded medications pursuant to valid prescriptions, as well as provider education and support through information provided on this Site.

GenoGenRx operates as a business-to-business (B2B) pharmacy, serving licensed prescribers and their designated patients. We do not dispense medications directly to the public without a valid prescription from a licensed healthcare provider.

5. Prescriptions & Compounded Medications

All compounded medications prepared by GenoGenRx require a valid prescription from a licensed healthcare provider authorized to prescribe in the applicable jurisdiction. By submitting a prescription to GenoGenRx, the prescribing provider represents and warrants that:

• The prescription is for a specific, identified patient based on a legitimate provider-patient relationship
• The prescriber holds a current, active, and unrestricted license to prescribe in the relevant state
• The prescription complies with all applicable federal and state laws, including controlled substance regulations where applicable

GenoGenRx reserves the right to verify the validity of any prescription and the licensure status of any prescriber, and to decline to fill any prescription at our professional discretion.

Compounded medications are prepared on a per-patient basis and are generally not eligible for return or refund once compounding has commenced, except where an error has been made by GenoGenRx. Refund and return requests will be evaluated on a case-by-case basis.

6. Provider Accounts

Healthcare providers may register for accounts through our provider onboarding process. By registering, you agree to:

• Provide accurate, current, and complete information during the registration process, including valid professional license information
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the confidentiality of your login credentials and accept responsibility for all activities that occur under your account
• Notify GenoGenRx immediately of any unauthorized use of your account or any other breach of security

GenoGenRx reserves the right to suspend or terminate any provider account at any time if we reasonably believe that the account information is inaccurate, the provider's license has been restricted, suspended, or revoked, or for any other reason at our sole discretion.

7. No Medical Advice

The information provided on this Site — including product descriptions, educational content, compound profiles, and related materials — is intended for informational and reference purposes only. It is directed at licensed healthcare professionals and is not intended as medical advice, diagnosis, or treatment recommendations for any individual patient.

Nothing on this Site is intended to create a provider-patient, pharmacist-patient, or any other healthcare relationship between GenoGenRx and any individual visitor to the Site. Patients should consult their prescribing healthcare provider for medical advice and treatment decisions.

Healthcare providers are solely responsible for making clinical decisions, including determining the appropriateness of any compounded formulation for a particular patient.

8. Compounding Disclaimer

GenoGenRx compounds medications in compliance with applicable United States Pharmacopeia (USP) standards, including USP <795> for nonsterile compounding and USP <797> for sterile compounding where applicable, and in accordance with Florida Board of Pharmacy regulations.

Product descriptions and images appearing on this Site are provided for reference purposes only and may not reflect the exact appearance of the dispensed product. Statements on this Site regarding compounded products have not been evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent any disease.

9. Acceptable Use of This Website

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, or local law or regulation
• Attempt to gain unauthorized access to any portion of the Site, related systems, or networks
• Use any automated system, including bots, scrapers, or spiders, to access or collect information from the Site
• Transmit any material that contains viruses, trojans, worms, or other harmful or destructive code
• Impersonate or misrepresent your identity, credentials, or affiliation with any person or entity
• Use information obtained from the Site to solicit, market to, or contact GenoGenRx's patients or provider partners without authorization
• Reproduce, distribute, or publicly display any content from the Site without our prior written consent

10. Intellectual Property

All content on the Site — including text, graphics, logos, images, page layouts, and software — is the property of GenoGenRx, LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. The GenoGenRx name, logo, and all related marks are trademarks of GenoGenRx, LLC.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose. This license does not permit you to reproduce, modify, distribute, display, or create derivative works from any content on the Site without our prior written consent.

The Site may contain links to websites or resources operated by third parties. These links are provided for convenience only. GenoGenRx does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party websites. GENOGENRX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GENOGENRX DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE ON OR THROUGH THE SITE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENOGENRX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, ANY CONTENT ON THE SITE, OR ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GENOGENRX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS IS INTENDED TO LIMIT GENOGENRX'S PROFESSIONAL LIABILITY AS A LICENSED PHARMACY UNDER APPLICABLE STATE AND FEDERAL LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless GenoGenRx, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site in violation of these Terms; (b) your violation of any applicable law or regulation; (c) any information you provide through the Site that is inaccurate, incomplete, or misleading; or (d) your infringement of any third-party rights.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of such courts.

16. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information and protected health information. Our HIPAA Notice of Privacy Practices provides additional detail regarding the use and disclosure of protected health information. Both documents are incorporated into these Terms by reference.

17. Changes to These Terms

GenoGenRx reserves the right to update or modify these Terms at any time. When we make changes, the updated Terms will be posted on this page with a revised effective date. Your continued use of the Site following the posting of changes constitutes your acceptance of those changes. We encourage you to review these Terms periodically.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
